1. 独立承包人 您为独立承包人,非公司员工、代理人或合伙人;放弃任何基于雇员身份的主张(工资、福利、加班、失业等)。不得以公司名义签约、收款或承诺;税务开支自负。
2. 职责与限制 您仅负责介绍/转介潜在客户。不得代客户与保险公司谈判、提供保险/法律意见、评估理赔金额,或冒充公司员工/理算师/律师;介绍前须取得客户同意被联系;须合法行事,不得违法招揽(如事故现场/医院当场兜揽、付费购买事故受害人线索);不作虚假宣传或结果保证。
3. 佣金 佣金 = 公司实际收到并最终保留的服务费净额 × 适用比例。适用比例由公司就每位介绍人/每次介绍以书面或门户方式确认;未经公司确认的,公司无任何支付义务,比例由公司全权酌定。各人比例为保密信息,不得相互披露或比较。佣金仅在所介绍客户①签约且②公司实际收款并保留后产生;款项未到、退回、撤销或调整的,不产生或相应减少,公司有权抵扣。归属与金额均以公司记录为最终依据;客户须为公司此前未知的新客户,以后台首次登记并绑定您为准;多人主张同一客户由公司独家裁定。
4. 付款与税务 您须提供 W-9。已交 W-9:按全额经公司 Zelle 支付,年付 ≥$600 出 1099-NEC;未交 W-9:按确认佣金的 70%(扣 30%)支付。公司在收到并结清客户款项后的合理时间内、按公司不时确定的安排支付。税务自负。
5. 保密与不绕开 您对客户信息、佣金条款及公司商业信息保密,仅用于本计划;不得绕开公司、利用经本计划获得的客户信息或商业秘密直接或为竞争方就该客户开展业务。终止后继续有效。
6. 公司自由裁量权 公司有权自行决定批准/拒绝申请、随时变更比例与规则、随时无须理由终止您的资格;终止后您无权要求任何补偿,但终止前已满足第3条的佣金仍按本条款支付;终止即停止使用公司名称/标识及门户访问。
7. 无任何保证 公司不保证有客户、不保证任何佣金金额;佣金仅在第3条条件满足时产生。
8. 责任限制与赔偿 在法律允许范围内,公司对您的全部责任上限不超过当时应付未付佣金,且不承担间接/附带/后果性损失。因您违反本条款或违法行为致公司损失、被索赔或产生费用(含合理律师费)的,您应全额赔偿并使公司免责。
9. 争议解决 任何争议在加州通过具约束力的最终仲裁解决;双方放弃法院诉讼与陪审团审判,并放弃集体/代表性主张(仅以个人名义)。任何索赔须在事由发生后 1 年内提出,逾期视为放弃。胜诉方有权获合理律师费。受加州法律管辖。
10. 一般条款 本条款构成完整约定,取代一切口头陈述;修改须公司书面作出;一次不行使权利不构成放弃;某条无效不影响其余;公司可转让、您不得转让;第3、5、7、8、9条于终止后继续有效;电子勾选/记录具同等效力;公司可不时更新,更新后继续参与即视为接受。

English Version (Controlling)
Infinite DV Referrer Program — Terms & Acknowledgment. Operated by Infinite Solutions Consulting LLC ("Company"). By checking the box and submitting your application, you acknowledge that you have read, understood, and irrevocably agree to all of the following.
1. Independent Contractor. You are an independent contractor, not an employee, agent, or partner. You waive any claim based on employee status (wages, benefits, overtime, unemployment, etc.). You may not sign, collect payment, or make commitments on the Company's behalf; you are responsible for your own taxes and expenses.
2. Duties & Restrictions. You are responsible only for introducing/referring prospective clients. You may NOT negotiate with insurers, give insurance or legal advice, appraise claim amounts, or hold yourself out as an employee, adjuster, or attorney of the Company. Obtain the client's consent to be contacted before referring. Act lawfully; do not solicit clients unlawfully (e.g., solicitation at accident scenes/hospitals, paying for accident-victim leads). No false/misleading statements; no guarantees of outcome.
3. Commission. Commission = a percentage of the service fee the Company actually receives and ultimately retains (net). The rate is confirmed by the Company per referrer/referral in writing or via the portal; absent the Company's confirmation, the Company has no payment obligation and the rate is at its sole discretion. Rates are confidential and may not be disclosed or compared. Commission accrues only after a referred client (i) signs and (ii) the Company actually receives and retains payment; if funds are not received, refunded, reversed, or adjusted, none accrues or it is reduced, and the Company may offset. Attribution and amounts are determined conclusively by the Company's records; the client must be new and previously unknown to the Company (first registration binding to you); competing claims are decided solely by the Company.
4. Payment & Taxes. You must provide a W-9. With W-9: paid in full via Company Zelle; 1099-NEC issued if ≥$600/year. Without W-9: paid at 70% of the confirmed commission (30% withheld). The Company pays within a reasonable time after receiving and clearing the client's payment. You are responsible for your own taxes.
5. Confidentiality & Non-Circumvention. Keep client information, commission terms, and Company business information confidential, used only for this program; do not circumvent the Company or use information/trade secrets obtained here to deal with the client directly or for a competitor. Survives termination.
6. Company Discretion. The Company may, in its sole discretion, approve/reject applications, change rates and rules at any time, and terminate your participation at any time without cause; upon termination you are entitled to no compensation except commissions that already met Section 3; you must stop using the Company's name/marks and portal access.
7. No Guarantee. The Company does not guarantee any clients or any commission amount; commission arises only when Section 3 conditions are met.
8. Limitation of Liability & Indemnification. To the extent permitted by law, the Company's total liability to you shall not exceed the unpaid commission then due, and it is not liable for indirect, incidental, or consequential damages. You will indemnify and hold the Company harmless from any loss, claim, or expense (including reasonable attorneys' fees) arising from your breach or unlawful conduct.
9. Dispute Resolution. Any dispute will be resolved by final and binding arbitration in California; both parties waive court litigation and jury trial and waive any class/representative claims (individually only). Any claim must be brought within one (1) year of the event or be barred. The prevailing party is entitled to reasonable attorneys' fees. Governed by California law.
10. General. Entire agreement, superseding all oral statements; modifications must be in writing by the Company; no waiver by non-enforcement; severability; the Company may assign, you may not; Sections 3, 5, 7, 8, 9 survive termination; electronic acceptance/records have equal effect; the Company may update these terms and continued participation constitutes acceptance.
Controlling Language. These terms are provided in Chinese and English for convenience. In the event of any conflict, the English version controls.
